These Terms of Service (the "Terms") govern the use of the SaaS service TrueSource (the "Service") provided by Mi LLC ("we", "us", or "our").
1. Scope
These Terms apply between us, as the provider of the Service, and any business entity that uses the Service (the "User").
2. Application and Formation of Contract
A User applies for the Service via the means designated by us, and a contract is formed when we accept the application.
3. Service Content
The Service is a SaaS platform for web marketing analytics, providing features such as traffic source attribution, conversion analytics, and advertising performance measurement.
4. User Obligations
- The User warrants that they own the Shopify store they manage, or that they have a valid delegation from the owner.
- The User is responsible for providing all required notices to End Users of their online store regarding the Service's tracking tag and cookie usage, and for obtaining appropriate consents.
5. Prohibited Acts
The User must not, in connection with the Service:
- Engage in any act that violates law or public order and morals
- Interfere with the use of the Service by other users
- Reverse-engineer or duplicate the Service
- Provide data obtained through the Service to third parties without authorization
6. Modification and Suspension of Service
We may modify, add to, or suspend the Service without prior notice.
7. Disclaimer
- We do not warrant the accuracy or completeness of the Service.
- We are not liable for damages arising from the User's use of the Service, except where caused by our intentional act or gross negligence.
8. Handling of Personal Information
Personal information is handled in accordance with our separately published Privacy Policy.
9. Intellectual Property
All copyrights, patent rights, trademark rights, and other intellectual property rights relating to the Service belong to us or our licensors.
10. Changes to These Terms
We may amend these Terms as needed. Amended Terms become effective upon publication on the Service.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. Any disputes related to these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
